Terms of Service
Last updated 31 October 2026
These terms set out how a company can use CloudPay, what we do, what the customer does, and what happens if something goes wrong.
1. The agreement
These terms apply between Cloudbox8 Ltd (“we”, “us”), which operates CloudPay, and the company that uses CloudPay (“the customer”, “you”). By creating an account or using CloudPay, the customer accepts these terms. The person who accepts them confirms they are allowed to do so for the customer.
The customer's employees and other users it invites also use CloudPay under these terms, through the customer's account.
2. The service
CloudPay is an online service for payroll, attendance, leave, claims and HR, built for Mauritian businesses, with an app for employees. Access is by invitation. We keep improving CloudPay and may add, change or remove features; we will not remove a feature the customer depends on without reasonable notice.
3. Accounts and security
- The customer decides who gets access and with which role, and is responsible for what its users do in CloudPay.
- Users must keep their password and two-step verification codes to themselves and tell the customer, or us, straight away if they think their account has been used by someone else.
- API keys must be kept secret and used only for the customer's own systems.
4. The customer's responsibilities
CloudPay calculates; the customer decides. Payroll results, statutory figures (PAYE, CSG, NSF, PRGF, HRDC levy) and returns are calculated from the data and settings the customer enters and from the rates CloudPay applies. The customer must check payslips, bank files and returns before approving, paying or filing them with the Mauritius Revenue Authority or any other authority, and remains responsible for its obligations as an employer.
- Enter accurate and complete data, and keep it up to date.
- Have a lawful basis to put its employees' data into CloudPay and tell its employees how their data is used, including by pointing them to our Privacy Policy.
- Use features such as GPS location at clock-in and selfie checks lawfully and tell employees about them. WhatsApp messages only go to employees who opt in.
5. Acceptable use
The customer and its users must not:
- use CloudPay for anything unlawful, or to store data they have no right to hold;
- try to get into accounts, data or parts of CloudPay they are not allowed to see, or test its security without our written permission;
- overload CloudPay, get around its limits, or copy or resell it;
- upload anything harmful, such as malware.
We may suspend access that breaks these rules, telling the customer why.
6. The customer's data
The customer owns the data it puts into CloudPay. We use it only to provide CloudPay, as described in our Privacy Policy, where we act on the customer's instructions for its employees' data. We keep it confidential and protect it with the measures described there.
The customer can export its data at any time while it uses CloudPay, and before it leaves (see section 9).
7. Fees
Fees depend on the plan and the number of employees, as agreed with the customer and shown on its invoices. We will give reasonable advance notice of any change in fees. If an invoice stays unpaid after a reminder, we may suspend the customer's access until it is paid; the customer's data is kept during a suspension.
8. Availability and support
We work to keep CloudPay available and fast, and we may need short maintenance windows. We do not promise that CloudPay will be available at every moment or free of errors. Support is by email at info.cloudbox8@gmail.com.
9. Ending the service
- The customer can stop using CloudPay by telling us in writing.
- We can end the service by written notice, or straight away if the customer seriously breaks these terms.
- Before the account closes, the customer can download a full export of its data. After closing, the data is permanently deleted after a grace period, 30 days by default, as described in the Privacy Policy.
- Fees already due remain payable.
10. Intellectual property
CloudPay, its software, design and content belong to us. The customer gets the right to use CloudPay while these terms apply. If the customer sends us suggestions, we may use them to improve CloudPay without any obligation.
11. Liability
Our total liability to the customer for all claims connected with CloudPay in any 12-month period is limited to the fees the customer paid us in the 12 months before the event that gave rise to the claim.
We are not liable for indirect or consequential losses, such as lost profits or business, or for losses caused by data the customer entered, by results the customer approved without checking (see section 4), or by events outside our reasonable control.
Nothing in these terms limits liability that cannot be limited under the law of Mauritius.
12. Changes, law and contact
We may update these terms; we will tell customers about significant changes before they take effect and change the date at the top. These terms are governed by the laws of the Republic of Mauritius, and the courts of Mauritius have jurisdiction.
